
57th ANNUAL GENERAL MEETING 2025
The 57th Annual General Meeting of Shareholders was held on 3 June 2025, in the ballrooms of the Royal Savoy Hotel in Lausanne, presided over for the first time by Mr. René Bautz. Since the directors had been elected in 2022 for a four-year term, their terms were not up for reelection. However, two directors who had resigned were replaced.
At the Annual General Meeting, Mr. Xavier Company, city council member and director of Lausanne Industrial Services (SiL), delivered a welcome address on behalf of the Lausanne authorities to the large audience, which included 160 guests from the energy, business, science, and research sectors.
Following the presentation of results and outlook by Mr. René Bautz and Mr. Gilles Verdan, the floor was given to the day’s speakers: Ms. Silvia Quarteroni, Chief Transformation Officer at the Swiss Data Science Center, and Mr. Didier Défago, Swiss Olympic champion in alpine skiing downhill, CEO of D&D Alpin, and CEO of the 2027 Alpine Ski World Championships in Crans-Montana.
The presentations by these renowned figures in their respective fields were particularly well-received by the audience and warmly applauded.

Employer Branding Strategy
Launched in late 2024, the employer branding project was rolled out throughout 2025. An internal survey on workplace well-being helped identify the strengths of the corporate culture, as well as areas where improvements were needed. These results were confirmed, clarified, and refined through an internal audit conducted in partnership with Ms. Fanny Comba, founder and director of Comba Consulting, an expert in employer branding. The results of this audit provided a clearer picture of Gaznat’s corporate culture, the main drivers of employee motivation, and the barriers to their fulfilment. Overall, with an E-NPS2 score of 20, Gaznat is perceived internally as a good employer. Certain limiting factors were identified, and improvement initiatives are currently being developed to address them. Based on these results, a draft Employer Value Proposition (EVP) was proposed and approved by management. This EVP is structured around four pillars that highlight the organization’s strengths: a strategic and concrete mission serving Switzerland, a culture of approachability and respect, solid and sustainable working conditions, and acompany in transition and focused on the future. The EVP will serve as a framework for the action plan, both internally and externally, for the rollout of Gaznat SA’s new employer brand.

Digitization of
HR Processes
Like other departments, Human Resources launched a project in late 2024 to modernize the Human Resources Information System (HRIS). Gaznat’s key HR challenges were identified and translated into specific requirements in a set of specifications. Following a request for proposals, three service providers were selected to cover the entire scope of HR functions across the full employee lifecycle. The new solutions will be rolled out gradually throughout 2026, with the goal of full availability by early 2027 at the latest.
Internal Engagement and Training
To promote communication across departments and locations, the traditional 2025 annual staff meeting was held off-site at the beautiful Château Maison Blanche in Yvorne. Following the management presentation, the floor was opened to employees, who presented internal projects such as winter gas supply, cybersecurity, maintenance of sublacustrine gas pipelines (GSL), and 3-D modeling of pressure-reducing and metering stations (PDC). An external speaker, Ms. Elodie Gentina, a professor at the IESEG School of Management, then shed light on a topic of great importance to Gaznat: intergenerational relationships within the company. In addition, as part of the training and skills development policy, Human Resources has supported several employees in pursuing training programs leading to certifications and degrees.

RISKS
The company’s overall risk management is overseen by a Risk Manager, who conducts an annual analysis of the risk portfolio for the Board of Directors. Following the risk review at the end of 2025, the overall risk portfolio now consists of 19 risks, eight of which are monitored as priorities. For these priority risks, actions and mitigation measures have been implemented to reduce their severity and probability of occurrence.
The Energy Risk Management Policy governs Gaznat’s activities in the field of gas trading. It is updated regularly to reflect changes in the business model, the methodology for monitoring risk limits, and the list of authorized products and counterparties.
